Tech-It-Up- The Sharp® Classroom Technology Challenge ("Contest”) is sponsored by Sharp Electronics Corporation ("Sponsor”), 1 Sharp Plaza, Mahwah, NJ 07495-1163 USA, and is administered by Prize Logic, LLC ("Administrator”), 25200 Telegraph Rd. Suite 405, Southfield, MI 48033 USA.

1. Contest Period:

The Contest begins on February 11, 2015 at 12:00 P.M. Eastern Time ("ET") and ends on April 30, 2015, at 11:59:59 P.M. ET ("Contest Period"). Sponsor’s computer is the official clock of the Contest.

2. Eligibility:

This Contest may be entered only by"Sanctioned Representatives". For purposes of this Contest, "Sanctioned Representatives" means currently employed principals, administrators, teachers or other authorized full time or part time employees in good standing, who are at least 18 years of age or older, of public, parochial, and private schools providing primary and second education, i.e. kindergarten through 12th grade (specifically excluding post-secondary education, i.e. colleges or universities) located in the fifty (50) U.S. States and the District of Columbia (the "School"). The School must be fully "Accredited" by the appropriate state governing bodies in the state where the School is located throughout the Contest Period and when the prize is awarded. For purposes of this Contest, the "Entrant" is the School represented by the Sanctioned Representative who submits the Entry, as defined in Section 3 of these Official Rules. The Sponsor in its sole discretion retains the right to determine if a person submitting a Contest entry qualifies as a Sanctioned Representative for that School.

Employees of Sponsor, Administrator, and each of their respective parent and affiliate companies, franchisees, and companies involved in the implementation and execution of the Promotion (collectively, "Promotion Entities"), each of their respective immediate family members (i.e., spouse, parent, child, sibling and the "steps" of each) and persons living in the same household of each, and all persons associated with the Promotion and administration of the Promotion, are not eligible to be a Sanctioned Representative. This provision shall not prevent Schools where children of immediate family members associated with the Promotion Entities from being eligible for this Contest. Void where prohibited or restricted by law. All federal, state, provincial, territorial, national, and local laws apply.

Participation constitutes Entrant’s and Sanctioned Representative's full and unconditional agreement to these Official Rules and the Sponsor's and Administrator’s decisions, which are final and binding in all matters related to the Contest. Receiving a prize is contingent upon fulfilling all requirements set forth herein.

3. How To Enter The Contest:

During the Contest Period, one (1) Sanctioned Representative, on behalf of his/her School, must visit www.sharpusa.com/tech-it-up ("Website") and follow the instructions to complete the "Contest Registration Form" (an "Entry"). The Contest Registration Form requires the Sanctioned Representative enter his/her School's name, street address (no P.O. Boxes), city, state, zip code, and school district. The Sanctioned Representative must then enter his/her complete first and last names, title of his/her employment with the School (i.e. Principal), school e-mail address and school telephone number.

The Sanctioned Representative must then answer the following two (2) questions (the "Questions"):

  1. How would your school integrate Sharp technology such as interactive whiteboards, professional display monitors and document systems (multifunctional copiers) to improve your students’ educational experience? (Answer must be 500 words or less)
  2. How would your students benefit by this award? (Answer must be 250 words or less)

For informational purposes only, an Entrant may answer the question: What technology do you presently have at your school? (Answer must be 250 words or less).

The Sanctioned Representative must complete the entire Contest Registration Form, including, but not limited to, completely and accurately answering Questions.

The Sanctioned Representative may also supplement the answers to the Questions by entering a YouTube® video (the "Video") addressing the Questions. The Video is not required and an Entry with a Video will not be given greater consideration than Entries without Video. To submit a Video, a Sanctioned Representative must have a YouTube® account in good standing through the Contest Period, and such account must allow Video viewing by Sponsor and Administrator.

By submitting a Video, Entrant hereby grants permission to Sponsor, Administrator, and their affiliated companies for the Video to be posted on the Website or other website for public view. In addition, if a Video is submitted, the Sanctioned Representative must have permission from each identifiable individual depicted or heard in the Video to grant the License described in Section 4, including applicable consents and permissions from the parents or legal guardians of any minors. If a Video is entered, the Video will be considered to be part of the Entry.

Each Sanctioned Representative hereby warrants and represents that he/she is authorized to enter the Contest on behalf of the School named in the Contest Registration Form.

The Sponsor will have the right to contact the School to confirm that the person making the Entry on behalf of the School is a Sanctioned Representative. To be eligible, an Entry must also comply with all requirements in Section 4 below.

Entry Limit: There is a limit of one (1) Entry per Sanctioned Representative for the entire Contest Period; each School may submit multiple entries during the Contest Period providing the Entry is not submitted by the same Sanctioned Representative and is also not a duplicate of previously submitted Entry. If Entries in excess of the limit are submitted or if the Entries do not comply with these entry limitations, such excess Entries are ineligible, null, and void.

NOTE: If a Sanctioned Representative participates in the Contest using his or her mobile device, message and data rates may apply. Sanctioned Representatives should consult their wireless providers' pricing plans.

4. Entry Guidelines And Restrictions:

  • The Entry must not contain material that violates or infringes another's rights, including, but not limited to, privacy, publicity, or intellectual property rights, including copyright infringement, or legal or moral rights of any third party, living or deceased (e.g., names, logos, symbols, or slogans that belong to other Entrants, quotes from other people, or parodies of other people are not permitted);
  • The Entry must not include any personally identifiable information, i.e. information which the Sponsor believes in its sole discretion and in accordance with any applicable law, can be used to distinguish or trace an individual's identity;
  • The Entry must not contain, facilitate, reference, or use material that is fraudulent, inappropriate, indecent, lewd, pornographic, obscene, hateful, tortious, defamatory, slanderous or libelous;
  • The Entry must not contain, facilitate, reference, or use material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, ethnicity, religion, nationality, disability, sexual orientation, political orientation, citizenship, ancestry, marital status, or age;
  • The Entry must not promote terrorist acts, including, but not limited to, providing instructions on how to assemble bombs, grenades and other such weapons or provide instructional information about illegal activities;
  • The Entry must not defame, misrepresent or contain disparaging or slanderous remarks about Sponsor, its customers or its products or services, or other people, products/services or companies;
  • The Entry must not communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate;
  • The Entry must not contain copyrights, trademarks, or logos owned by others (except Sponsor's copyrights, trademarks, or logos), or advertise or promote any brand or product of any kind (except Sponsor's products), without permission, or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses;
  • The Entry must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any jurisdiction where Entry is created;
  • The Entry and the Video , if any, must be in English;
  • A Video must not exceed five (5) minutes in length;
  • The Sanctioned Representative must have written permission from any persons whose name, image, likeness or voice is included in a Video (this includes written permission from parents and legal guardians of any minors whose name, image, likeness or voice is included).
  • A Video must not contain any viruses, spyware, malware, or other malicious components that are designed to harm the functionality of a computer in any way; and
  • A Video must adhere to YouTube terms of use, available at https://www.youtube.com/static?template=terms.

5. Sponsor's IP And General Terms:

Sponsor grants Sanctioned Representatives/Entrants a limited, revocable, non-sublicensable license to use Sponsor’s name, product, trademarks and logos (collectively, "Sponsor’s IP") for the sole purpose of participating in this Contest. Sanctioned Representatives/Entrants are not permitted to make any further use of Sponsor's IP for any purpose whatsoever. In addition, Sanctioned Representatives/Entrants recognize that all rights, title, and interest (including associated goodwill) in Sponsor's IP shall vest exclusively in and to the Sponsor, and hereby assigns the same to Sponsor to the extent not otherwise vesting in and to Sponsor, and Sanctioned Representatives/Entrants agree that they have not and will not take any action that might harm or adversely affect such rights. No right, title, or interest in and to the Sponsor's IP except for the limited license granted to the Sanctioned Representatives/Entrants in these Official Rules is transferred or created. Each Sanctioned Representatives/Entrants further acknowledges and agrees that Sponsor's IP rights are valid and enforceable, and that Entrant shall do nothing to contest the validity or enforceability of Sponsor's IP in any forum. Entrants agree that the use of Sponsor's IP is permitted only for the purpose of entering this Contest, and that any use of Sponsor's IP (whether in the Entry or otherwise) beyond this scope infringes the rights of Sponsor and will result in irreparable harm to Sponsor.

The Sanctioned Representative/Entrant agrees that Sponsor is free to disclose the ideas contained in the Entry on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to the Sanctioned Representative/Entrant.

Each Entrant retains ownership of his/her Entry. Each Entrant hereby grants to Sponsor and their affiliated companies and designated agents, a non-exclusive, transferable, irrevocable, royalty free, unconditional, fully paid license and right to post and to make, have made, use, copy, reproduce, modify, and create derivative works of any materials provided by the Entrant with the Entrant’s entry or otherwise in perpetuity

Once an Entry is entered into the Contest, any such posting will be deemed made at the direction of the Entrant within the meaning of the Digital Millennium Copyright Act and the Communications Decency Act. EACH SANCTIONED REPRESENTATIVE/ENTRANT REPRESENTS, UNDERSTANDS AND ACKNOWLEDGES THAT THEY WILL NOT BE PAID FOR OR RECEIVE ANY FORM OF COMPENSATION OR ROYALTY (OTHER THAN A PRIZE STATED HEREIN IF SELECTED AS A WINNER) IN EXCHANGE FOR GRANTING SPONSOR THE NON-EXCLUSIVE LICENSE RIGHTS OR FOR ANY SUBSEQUENT USE OF SUCH ENTRY BY SPONSOR.

6. Judging, Finalists And Contest Prize Winners:

On or about May 1, 2015 – May 14, 2015, all eligible Entries will be judged by qualified judges ("Judges") selected by Sponsor in its sole discretion. The Judges will score each Entry according to the following weighted criteria ("Judging Criteria"):

  • Originality and creativity (50%); and
  • Attention to Sharp product features, functions and benefits and how they will support educational initiatives within the School (50%).

Depending upon the number of eligible Entries, the Entries with the twenty (20) highest scores as determined by the Judges in their sole and absolute discretion will be "Finalist Entries."

Finalist Entries will then be re-reviewed using the same Judging Criteria and the Judges will again score the Finalist Entries. One of the Finalist Entries with the highest collective score will be the potential "Grand Prize Winner" and the next ten (10) Finalist Entries with the highest collective scoring will be the potential ten (10) "Runner-Up Winners". For purposes of these Official Rules and the Contest, the Grand Prize Winner and Runner-Up Winners shall be collectively referred to as the "Winners".

In the event of a tie in either judging phase above, the Entry with the highest score in criteria 1 -Originality and Creativity - will be deemed the potential winning Entry. In the event of there is still a tie, the Entry with the highest score in criteria 2 - Attention to Sharp product features, functions and benefits - will be deemed the potential winning Entry. If there is still a tie, the Judges will meet and rescore the tied Entries.

All potential Winners are subject to review of eligibility and confirmation of their compliance with these Official Rules. If any Winner is found to be ineligible or does not comply with these Official Rules, it will be disqualified and the Entry with the next-highest Judge’s score will be named a potential Winner. Decisions of the Judges are final and binding.

7. Prizes And Approximate Retail Value:

Grand Prize (1): The "Grand Prize" winning School will receive available Sharp®-branded products ("Products") and, if requested, related installation, support and service for the Products ("Service") from the Sponsor worth approximately One Hundred Thousand Dollars ($100,000) (the value of Products will be based on the applicable MSRP; the value of Services will be based on Sponsor's current rates). The Grand Prize will be customized by the Sponsor and the School to best meet the needs of the School. Applicable Services will be a component of the total Grand Prize value.

Runner Up Prizes (10): Each "Runner-Up Prize” winning School will receive a 70” Class AQUOS BOARD interactive display system with PC and rolling cart stand. The MSRP of each Runner-Up Prize is approximately $10,489.

General prize conditions: The Grand Prize and each Runner-Up Prize shall be collectively referred to as the "Prize(s)” for these Official Rules and the Contest. Each Prize will only be awarded to the winning School, not to the individual Sanctioned Representative. Neither the Sanctioned Representative nor any other individual at the School will receive any Prizes.

Each Prize is non-transferable and non-assignable. No substitution, exchange or cash equivalent will be allowed, except at Sponsor’s sole discretion. The Winners are solely responsible for all costs and expenses associated with the Prizes not stated in these Official Rules. If potential Winners are found to be ineligible, not in compliance with these Official Rules, decline to accept the Prizes or does not properly redeem the Prizes, the Prizes may be forfeited at Sponsor’s sole discretion. No more than one (1) Prize will be awarded per School.

8. How To Claim The Prize:

On or about May 15, 2015, Sponsor’s designee will call the Sanctioned Representative at the phone number provided when entering the Contest and will send an email notification to the email address provided at the time of entry to the Sanctioned Representative of the potential Grand Prize winning School and each Runner-Up Prize winning School with instructions on how to claim the applicable Prize. Sanctioned Representative of each potential School will be required to sign and return an Affidavit of Eligibility and Liability/Publicity Release (except where prohibited) and any other requested documents within ten (10) business days from the date of attempted notification or the prize may be forfeited in its entirety and awarded to an alternate winner, at the Sponsor’s sole and absolute discretion. In the event an e-mail notification is returned as undeliverable, or if a Sanctioned Representative or potential winning School does not comply with these Official Rules, the Sanctioned Representative and/or the winning School may be disqualified at Sponsor’s sole discretion. If the Entry contained a Video, then the Sanctioned Representative may be required to obtain a release from all participants in the Video as a condition to receiving a Prize, including parents or legal guardians of any minors, and provide such releases to Sponsor. After a Winner is confirmed, Sponsor will arrange to have the applicable Prize delivered to the winning School in a manner it deems reasonable. Sponsor shall make a good faith attempt to award and deliver the applicable Prize and the winning School agrees to reasonably assist Sponsor in accepting the applicable Prize. If the applicable Prize is forfeited for any reason, an alternate potential School may be selected from the remaining eligible Entries based on the Judging Criteria above.

Note: If a winning School is supported or funded by a charitable foundation, the winning School may assign the applicable Prize to such foundation or a similar entity or organization. A Winner may assign the applicable Prize or any portion thereof to another School in its district upon Sponsor’s prior approval.

General: ALL FEDERAL, STATE AND LOCAL TAXES IMPOSED ON THE ACCEPTANCE OF A PRIZE ARE SOLELY THE RESPONSIBILITY OF THE WINNER. Each Prize awarded is subject to the restrictions and limitations noted in these Official Rules, on the Prize and/or included with the Prize.

9. Limitation Of Liability:

By participating in this Contest, Sanctioned Representatives and Entrants (collective "Sanctioned Representative/Entrants”) agree that the Promotion Entities, and their respective affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment and marketing agencies, website providers, Web masters and their respective officers, directors, employees, representatives, designees and agents ("Released Parties”) are not responsible for lost, late, incomplete, stolen, misdirected, postage due, or undeliverable e-mail notifications or postal mail; or for any computer, telephone, satellite, cable, network, electronic or Internet hardware or software malfunctions, failures, connections or availability; or garbled, corrupt or jumbled transmissions, service provider/Internet/website/use net accessibility, availability or traffic congestion; or any technical, mechanical, printing, or typographical or other error; or unauthorized human intervention; or the incorrect or inaccurate capture of registration information; or the failure to capture, or loss of, any such information. The Released Parties are not responsible for any incorrect or inaccurate information, whether caused by any website’s users, tampering, hacking or by any of the equipment or programming associated with or utilized in the Contest and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, technical error, theft or destruction or unauthorized access to any Contest-related website(s). The Released Parties are not responsible for any injury or damage, whether personal or property, to Sanctioned Representative/Entrants or to any person's computer related to or resulting from participating in the Contest and/or accepting a Prize. The Released Parties shall not be responsible or liable for Entries that are entered by any automated computer, program, mechanism or device, for any or for Entries that are late, forged, lost, misplaced, misdirected, tampered with, incomplete, deleted, damaged, garbled or otherwise not in compliance with the Official Rules, and all such entries may, in Sponsor’s sole discretion, be disqualified.

If, for any reason, an Entry is confirmed to have been erroneously deleted, lost or otherwise destroyed, corrupted or for any other reason not accepted as an Entry in the Contest, the Entrant/Sanctioned Representative’s sole remedy is to enter the Contest again to receive another Entry. If, for any reason, the Contest is not capable of running as planned, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Contest and/or proceed with the Contest, including the selection of Winners in a manner it deems fair and reasonable including the selection of the Winners from among eligible Entries received prior to such cancellation, termination, modification or suspension.

By entering the Contest, each Sanctioned Representative/Entrant agrees: (i) to be bound by these Official Rules and by all applicable laws and by the decisions of Sponsor and Administrator, which shall be binding and final; (ii) to waive any rights to claim ambiguity with respect to these Official Rules; (iii) to waive all of their rights to bring any claim, action or proceeding against any of the Released Parties in connection with the Contest; and (iv) to forever and irrevocably agree to release and hold harmless each of the Released Parties from any and all claims, lawsuits, judgments, causes of action, proceedings, demands, fines, penalties, liability, costs and expenses (including, without limitation, reasonable outside attorneys’ fees) that may arise in connection with: (a) the Contest, including but not limited to any Contest-related activity or element thereof, and the Entries, participation or inability to participate in the Contest, (b) the violation of any third-party privacy, personal, publicity or proprietary rights, (c) typographical or printing errors in these Official Rules or any Contest materials, (d) acceptance, attendance at, receipt, travel related to, participation in, delivery of, possession, defects in, use, non-use, misuse, inability to use, loss, damage, destruction, negligence or willful misconduct in connection with the use of a prize (or any component thereof), (e) any change in the Prizes (or any components thereof) due to unavailability or due to reasons beyond Sponsor’s control, including but not limited to by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not such action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened or actual terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot or any other cause beyond any of the Released Parties’ control, or as otherwise permitted in these Official Rules, (f) any interruptions in or postponement, cancellation or modification of the Contest, (g) human error, (h) incorrect or inaccurate transcription, receipt or transmission of any part of any Entry (including, without limitation, the registration information or any parts thereof), (i) any damage to Sanctioned Representative/Entrant’s (or any third person’s) equipment used to access the Contest and/or its contents related to or resulting from any part of the Contest, (j) any wrongful, negligent, or unauthorized act or omission on the part of any of the Released Parties, (k) lost, late, stolen, misdirected, damaged or destroyed Prizes (or any element thereof), or (l) the negligence or willful misconduct by Sanctioned Representative/Entrant.

10. Disputes:

THIS CONTEST IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW JERSEY USA, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN THE COUNTY OF BERGEN, NEW JERSEY USA. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION IN ACCORDANCE WITH ITS ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF ("AAA RULES”). THE AAA RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN NEW JERSEY USA. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN BERGEN COUNTY, NEW JERSEY USA. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY’S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF. SANCTIONED REPRESENTATIVE/ENTRANTS AGREE THAT THE RIGHTS AND OBLIGATIONS OF ANY SANCTIONED REPRESENTATIVE/ENTRANT AND/OR PROMOTION ENTITIES AND/OR ANY OTHER PARTY SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION. ANY DEMAND FOR ARBITRATION MUST BE FILED WITHIN ONE (1) YEAR OF THE TIME THE CAUSE OF ACTION ACCRUED, OR THE CAUSE OF ACTION SHALL BE FOREVER BARRED.

11. Privacy Policy:

Any personally identifiable information collected during an Sanctioned Representative/Entrant's participation in the Contest will be collected by Sponsor or designee and used by Sponsor, its affiliates, designees, agents and marketers for purposes of the proper administration and fulfillment of the Contest as described in these Official Rules and in accordance with Sponsor's Privacy Policy as stated at http://www.sharpusa.com/PrivacyPolicy.aspx.

12. Publicity Rights:

By participating in the Contest and/or accepting a Prize, each Sanctioned Representative/Entrant agrees to allow Sponsor and/or Sponsor's designee the perpetual right to use his/her name, biographical information, photos and/or likeness, and statements for Contest, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered including live television, worldwide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation except where prohibited by law.

13. Nature Of Relationship/Waiver Of Equitable Relief:

Each Sanctioned Representative/Entrant hereby acknowledges and agrees that the relationship between the Sanctioned Representative/Entrant and the Contest Entities is not a confidential, fiduciary or other special relationship, and that the Sanctioned Representative/Entrant's decision to provide the Sanctioned Representative/Entrant's Entry to Sponsor for purposes of the Contest does not place the Contest Entities in a position that is any different from the position held by members of the general public with regard to elements of the Sanctioned Representative/Entrant's Entry. Each Sanctioned Representative/Entrant understands and acknowledges that the Contest Entities have wide access to ideas, stories, designs and other literary materials, and that new ideas are constantly being submitted to it or being developed by their own employees, consultants or representatives. Each Sanctioned Representative/Entrant also acknowledges that many ideas may be competitive with, similar or identical to the Entry and/or each other in theme, idea, format or other respects. Each Sanctioned Representative/Entrant acknowledges and agrees that such Sanctioned Representative/Entrant will not be entitled to any compensation as a result of any Contest Entry’s use of any such similar or identical material. Each Sanctioned Representative/Entrant acknowledges and agrees that the Contest Entities do not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the copyright in and to the Entry. Finally, each Sanctioned Representative/Entrant acknowledges that, with respect to any claim by Sanctioned Representative/Entrant relating to or arising out of a Contest Entity's actual or alleged exploitation or use of any Entry or other material submitted in connection with the Contest, the damage, if any, thereby caused to the applicable Sanctioned Representative/Entrant will not be irreparable or otherwise sufficient to entitle such Sanctioned Representative/Entrant to seek injunctive or other equitable relief and Sanctioned Representative/Entrant's rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.

14. No Obligation To Use:

Sponsor shall have no obligation (express or implied) to use any Entry, or to otherwise exploit any Entry or, if commenced, to continue the distribution or exploitation thereof, and Sponsor may at any time abandon the use of any Entry for any reason, with or without legal justification or excuse, and Sanctioned Representative/Entrants shall not be entitled to any damages or other relief by reason thereof.

15. Dates & Deadlines/Anticipated Number Of Sanctioned Representative/Entrants:

Because of the unique nature and scope of the Contest, Sponsor reserves the right, in addition to those other rights reserved herein, to modify any date(s) or deadline(s) set forth in these Official Rules or otherwise governing the Contest. Sponsor cannot accurately predict the number of Sanctioned Representative/Entrants who will participate in the Contest.

16. Further Documentation:

If Sponsor shall desire to secure additional assignments, certificates of engagement for the Entry or other documents as Sponsor may reasonably require in order to effectuate the purposes and intents of these Official Rules, then each Sanctioned Representative/Entrant agrees to sign the same upon Sponsor's request therefor. If requested, Entrant will sign any documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights Entrant is granting to use the Entry.

17. General:

Any attempted form of participation in this Contest other than as described herein is void. If it is discovered or suspected in Sponsor’s sole and absolute discretion that an Sanctioned Representative/Entrant has registered, entered, or attempted to register or enter the Contest using multiple e-mail addresses, YouTube accounts, identities, proxy servers or like methods, all of that Sanctioned Representative/Entrant’s Entries will be declared null and void, and that Sanctioned Representative/Entrant will be ineligible to win a prize. CAUTION AND WARNING: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR TO UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. If any provision of these Official Rules or any word, phrase, clause, sentence or other portion thereof should be held unenforceable or invalid for any reason, then that provision or portion thereof shall be modified or deleted in such manner as to render the remaining provisions of these Official Rules valid and enforceable. The invalidity or unenforceability of any provision of these Official Rules or the prize documents will not affect the validity or enforceability of any other provision. Sponsor’s and/or Administrator’s interpretation of these Official Rules is final and binding in all matters related to the Contest. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision and such provision shall remain in full force and effect. All Entries and/or materials submitted will not be returned. In the event of any conflict with any promotional details contained in these Official Rules and promotional details contained in any promotional materials (including but not limited to point of sale, television and print advertising, promotional packaging and other promotional media), the details of the Contest as set forth in these Official Rules shall prevail.

18. Winners List:

To obtain a list of Winners, mail a self-addressed, stamped business-sized envelope to: Tech-It-Up - The Sharp® Classroom Technology Challenge Winners List Request, P.O. Box 251328, West Bloomfield, MI 48325. Winners List requests must be received by June 30, 2015.
